  1. The Service. The service enables teachers to access and use curriculum content, track student performance and provide feedback to parents/guardians of students (the "Service").

  2. Content. All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly posted or privately transmitted to the Website by viewers or users whether in forums or otherwise ("User Content"), is the sole responsibility of such viewers or users. This means that the viewer or user, and not Peekapak, are entirely responsible for all such material uploaded, posted, emailed, transmitted or otherwise made available by using the Service. Peekapak does not control or actively monitor User Content and, as such, does not guarantee the accuracy, integrity or quality of such content. Users acknowledge that by using the Service, they may be exposed to materials that are offensive, indecent or objectionable. Under no circumstances will Peekapak be liable in any way for any materials, including, but not limited to, for any errors or omissions in any materials, or for any loss or damage of any kind incurred as a result of the viewing or use of any materials posted, emailed, transmitted or otherwise made available via the Service.

  3. Restrictions on User Content and Use of the Service. Peekapak reserves the right at all times (but will have no obligation) to remove or refuse to distribute any User Content and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of our users and the public.

  4. In using the Website and/or Service You shall not:

    1. copy any content unless expressly permitted to do so herein;

    5. interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

    6. intentionally or unintentionally violate any applicable local, state, national or international law or regulation;

    7. collect or store personal data about other users or viewers;

Peekapak will not be responsible or liable for any use of User Content in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any User Content that you submit.

  6. End User License. Except for User Content and “Curriculum Content” (as defined below), this Website, and the information and materials that it contains, are the property of Peekapak and its licensors, and are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws. Subject to the terms of this Agreement, Peekapak grants you a non-transferable, non-exclusive, license to use the Website and content contained therein for your classroom use (the "End User License"). Nothing in the Terms gives you a right to use the Peekapak or Peekapak names, trademarks, logos, domain names, and other distinctive brand features without our prior written consent. You shall not attempt to override or circumvent any of the usage rules or restrictions on the Website. Any future release, update, or other addition to functionality of the Website shall be subject to the terms of these Terms.

  7. Curriculum Content License. Peekpak offers access to curriculum content that is the property of the property of Peekapak and its licensors ("Curriculum Content"). Subject to the terms of this Agreement and the payment of any applicable fees, Peekapak grants you a non-transferable, non-exclusive, license to copy, use, modify, publicly display and publicly perform Curriculum Content for your classroom use (the "Curriculum Content License"). If you make any modifications to the Curriculum Content, you agree to assign all right, title and interest in and to such modifications to Peekapak and you further waive any moral rights you may have in and to such content. Such modifications will be deemed “Curriculum Content” and will be licensed to you pursuant to the terms of the Curriculum Content License.

  8. Feedback. If You provide Peekapak with any suggestions, comments or other feedback relating to any aspect of the Website and/or Service ("Feedback"), Peekapak may use such Feedback in the Website or in any other Peekapak products or services (collectively, "Peekapak Offerings"). Accordingly, You agree that: (a) Peekapak is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to Peekapak, (c) Peekapak (including all of its successors and assigns and any successors and assigns of any of the Peekapak Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any Peekapak Offerings, and (d) You are not entitled to receive any compensation or re-imbursement of any kind from Peekapak or any of the other users of the Website in respect of the Feedback.

  9. Links & Third-Party Websites. This Website (including User Content) may contain links to other websites that are not owned or controlled by Peekapak. In no event shall any reference to any third party, third party product or service be construed as an approval or endorsement by Peekapak of that third party, third party product or service. Peekapak is also not responsible for the content of any linked websites. Any third-party websites or services accessed from the Website are subject to the terms and conditions of those websites and or services and You are responsible for determining those terms and conditions and complying with them. The presence on the Website of a link to any other website(s) does not imply that Peekapak endorses or accepts any responsibility for the content or use of such websites, and You hereby release Peekapak from all liability and/damages that may arise from Your use of such websites or receipt of services from any such websites.

Peekapak reserves the right to prohibit or remove (or require You to remove) any link to the Website, including, without limitation, any link which contains or makes available any content or information of the foregoing nature, at any time.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, PEEKAPAK'S LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY U.S. DOLLARS ($50) OR (B) AMOUNTS YOU'VE PAID PEEKAPAK IN THE PRIOR 12 MONTHS (IF ANY)THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENSION PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

  13. INDEMNIFICATION. YOU SHALL INDEMNIFY AND HOLD PEEKAPAK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), INCURRED IN CONNECTION WITH: (I) ANY MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH THE SERVICE; (II) ANY INTERACTIONS OR TRANSACTIONS BETWEEN YOU AND ANY OTHER USER; AND/OR (III)ANY VIOLATION BY YOU OF THESE TERMS OF USE, THE RIGHTS OF ANY THIRD-PARTY OR ANY APPLICABLE LAW OR REGULATION.

  14. Termination. Peekapak may, under certain circumstances and without prior notice, immediately terminate Your ability to access the Website or portions thereof. Cause for such termination shall include, but not be limited to, (a) breaches or violations of these Terms of Use or any other agreement that You may have with Peekapak (including, without limitation, non-payment of any fees owed in connection with the website or otherwise owed by You to Peekapak), (b) requests by law enforcement or other government agencies, (c) a request by You, (d) discontinuance or material modification to the website (or any part thereof), (e) unexpected technical, security or legal issues or problems, and/or (f) participation by You, directly or indirectly, in fraudulent or illegal activities. Termination of Your access to the Website may also include removal of some or all of the materials uploaded by You to the Website. You acknowledge and agree that all terminations may be made by Peekapak in its sole discretion and that Peekapak shall not be liable to You or any third-party for any termination of Your access to this Website or for the removal of any of the materials uploaded by You to the Website. Any termination of these terms of use by Peekapak shall be in addition to any and all other rights and remedies that Peekapak may have.

  15. Availability & Updates. Peekapak may alter, suspend, or discontinue this Website at any time and for any reason or no reason, without notice. The Website may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Peekapak may periodically add or update the information and materials on this Website without notice.

  16. Security. Information sent or received over the Internet is generally unsecure and Peekapak cannot and does not make any representation or warranty concerning security of any communication to or from the Website or any representation or warranty regarding the interception by third parties of personal or other information. You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. Peekapak will not be liable for any loss or damage arising from your failure to comply with these requirements.

  17. General. These Terms of Use, together with our Privacy Policy constitutes the entire agreement between the parties relating to the Website and Service and all related activities. These Terms of Use shall not be modified except in writing signed by both parties or by a new posting of these terms of use issued by Peekapak. If any part of these Terms of Use is held to be unlawful, void, or unenforceable, that part shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. The failure of Peekapak to exercise or enforce any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any right or provision by Peekapak must be in writing and shall only apply to the specific instance identified in such writing. You may not assign the terms of use, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise without Peekapak's prior written consent. We may assign these Terms of Use without restriction. These Terms of Use are governed by the laws of the Province of Ontario without regard to its choice of laws provisions. Peekapak Inc. ("Peekapak"/"we"/"us"/"our") is committed to protecting your privacy. We make the website, www.peekapak.com (the "Website") available together with our services as further described in our Terms of Use (the "Services"). This Privacy Policy describes how we collect, store, use and distribute information about our users through the Website and Services.

Consent: By using the Website or our Services you consent to the use of your Personal Information as described in this Privacy Policy. Except as set forth in this Privacy Policy, your Personal Information will not be used for any other purpose without your consent. We will not actively collect Personal Information for the purpose of sale or marketing in a way that specifically identifies the individual. In other words, we don't sell customer lists. You may withdraw your consent to our processing of your Personal Information at any time. However, withdrawing consent may result in your inability to continue using the Website and/or the Services.

  • Teacher Registration and Account Information: In order to register for our Services you must provide certain Personal Information to us such as your full name, salutation and email address. You also have the option to provide us with additional information including the name of the school you work at, the school board that governs the school you work at, the classes you teach, the extracurricular activities you run at your school, your educational background and your address. We use such information to register your account, provide you with the Services and as otherwise disclosed in this Privacy Policy.

  • Parent/Guardian Registration: Teachers can invite parents/guardians of their students to join the Service to receive at-home assignments and feedback regarding their children. If you register as a parent/guardian, we will ask you to provide us with your full name, email address and the name of your child. We will use this information to create your account and provide you with the Services.

  • Information about Students: Teachers have the ability to provide information about students in their classes including their names, the names of their parents/guardians, their year of study and class that they are enrolled in, their grades and marks and comments regarding their performance. We will use this information to provide the Services pursuant to this Privacy Policy. See further, ‘Children’s Privacy Protection’ below.

  • Teacher Posts: Teachers have the option to publish posts using the Services. If you choose to publish a post, your name and the content of your post will be made available to any users to whom you have provided access to your classroom via the Website.

  • Transactional Notifications: We provide notifications for certain activities relating to your use of our Services despite your indicated e-mail preferences, for example we may send you notices of any updates to our Terms of Service or Privacy Policy.

  • Marketing Communications: If you opt-in to receive marketing communications from us, we will keep you up to date on our products and services. You may withdraw your consent to receiving marketing communications from us at any time by following the opt-out instructions in each communication.

  • Statistics: We also collect statistics about use of the Services which we use for analytics including predictive analytics. Aggregate statistics that do not personally identify an individual will be kept by us and such aggregate statistics may be made available to other members or third parties.

  • System Logs & Cookies: Cookies are used by us to track content usage and traffic on the Website and Services. If you are a teacher or school representative in the US, you represent and warrant that you are complying and will continue to remain in compliance with FERPA and COPPA and that you have received written permission from the parents/guardians of any children whose information you will be providing to the Services, and you agree to indemnify us for any losses or damages incurred in connection with your provision of information about any children.

Disclosures & Transfers: We have put in place contractual and other organizational safeguards with our agents (see further below) to ensure a proper level of protection of your Personal Information (see further Security below). In addition to those measures, we will not disclose or transfer your Personal Information to third parties without your permission, except as specified in this Privacy Policy (see further Important Exceptions below).

As at the date of this Privacy Policy, we share Personal Information about you in respect of the Website or Services only with our service providers and partners which include website hosting, cloud service providers, analytics providers, email marketing providers and payment processors.
